[0:00] The short answer Dan: The 5 best registered agents in Nebraska in 2026 are Mainstay Filing, Northwest Registered Agent, NE Registered Agent.org, Bizee, and Nebraska Registered Agent.co. Maya: Welcome to The Business Formation Podcast. Nebraska. What should a listener know first? Dan: Nebraska makes you file a report every other year, not every year, and a change of agent runs $25 online. The state also needs the agent's office to be the same as your registered office. [0:35] What Nebraska requires Maya: What does the law require? Dan: Statute 21-113 says every Nebraska LLC must continuously maintain a designated office and an agent for service of process in the state. The office doesn't have to be where you do business. Maya: Who can be the agent? Dan: An individual who lives in Nebraska, or another person with authority to transact business there. A corporation works if it's authorized in the state. Maya: Is there a catch with the address? Dan: The agent's office must be identical to the registered office. And the street address is required. Maya: Can a member be the agent? Dan: Yes. The Secretary of State says the agent can be a member of the entity or a designated third party who lives in Nebraska. Maya: I'm Maya, by the way, here with Dan. Dan: Thanks, Maya. Now the five. [1:30] Mainstay Filing Maya: Number one? Dan: Mainstay Filing, $149 a year, and it renews at the same $149. Maya: What do I get? Dan: Its Nebraska address on the public record instead of yours. Served papers are scanned and uploaded the same business day at no fee, and the first three government mailings a year are scanned free. Maya: And if I already have an agent? Dan: Mainstay files the change for you. The $25 state fee passes through at cost. Maya: The honest catch? Dan: If you want the lowest flat price, two agents below it charge $99. [2:07] Northwest Registered Agent Maya: Second? Dan: Northwest Registered Agent, $125 a year. It says the price hasn't gone up in 20 years, and up to 10 pieces of regular mail a year are scanned free. Maya: The catch? Dan: Signup auto-enrolls you in its annual report filing service, $100 plus state fees per filing, until you cancel. Maya: And Nebraska's own report? Dan: That one is every two years, so check what that service would file before you leave it on. [2:36] NE Registered Agent.org Maya: Third? Dan: NE Registered Agent.org, $99 a year, the same at renewal. The Nebraska registered office address, service of process capture and compliance alerts. Maya: Switching? Dan: Just the $25 state fee. Maya: Any catch? Dan: Annual report filing is a separate service, so it isn't in the $99. Maya: Against Mainstay? Dan: $50 less a year, $150 across three. [3:05] Bizee Maya: Four? Dan: Bizee, formerly Incfile. Free the first year with any formation package, then $149 a year. Maya: Fine print? Dan: The free year needs a formation order, and the renewal is automatic. Maya: If I'd already formed my company? Dan: You start at $149. Two years is $298. [3:29] Nebraska Registered Agent.co Maya: And five? Dan: Nebraska Registered Agent.co, a flat $99. The office address on file, scanned legal mail, and compliance reminders ahead of state deadlines. Maya: Different from number three? Dan: On the listings, no. Same price, and the same catch: report filing is a separate service. [3:49] Naming the agent at formation Maya: Where does the agent go when I form the LLC? Dan: In the Certificate of Organization. It names the designated office and the agent, and the agent's street address is required. Maya: What does the filing cost? Dan: $100 online or $110 in the office. Maya: Does the mailing address matter? Dan: It's optional. A mailing address or post office box can be added, but the street address is the one that counts. [4:18] Changing the agent Maya: How do I change it later? Dan: With the Statement of Change of Designated Office, Registered Agent and, or Registered Agent's Address. It's a form for domestic LLCs. Maya: What does it cost? Dan: $25 online or $30 in the office. Maya: Is the online price really $25? Dan: The statutory fee is $25, but the state says online payment runs at least $2 more per transaction. You upload the signed PDF through eDelivery. Maya: Does the new agent sign? Dan: Not on this form. It's signed by an authorized representative of the LLC, and we found no consent requirement in the statute. Maya: When does it take effect? Dan: When the Secretary of State files it. You can also choose a delayed effective date. Maya: Any change coming to the filing system? Dan: The state expects a new online business filing system before the end of 2026, and online filings will no longer need a separate uploaded PDF. [5:12] If the agent resigns Maya: What if my agent quits? Dan: Statute 21-115 says the agent delivers a statement of resignation to the Secretary of State. The fee is $30. Maya: Who finds out? Dan: The Secretary of State mails a copy to your designated office, and another to your principal office if it's different. Maya: When does it end? Dan: On the 31st day after filing, or when a new agent's record takes effect, whichever comes first. Maya: So about a month, again. Dan: At most. File the replacement right away. [5:45] When there's no agent Maya: What if papers need to reach a company with no agent? Dan: Statute 21-116 lets service go by registered or certified mail, return receipt requested, to the company's designated office. Maya: How fast is that effective? Dan: At the earliest of receipt, the return receipt date, or five days after the papers are mailed with correct postage. Maya: Can the state shut me down for it? Dan: The Secretary of State says failing to maintain an agent or office can result in administrative dissolution. Maya: Even though the statute lists only fees and the report? Dan: Right. The statute names unpaid fees and a late biennial report, but the state's own guidance is broader, so take it seriously. [6:27] The biennial report Maya: What does Nebraska want from me regularly? Dan: A biennial report, every other year. It's filed in odd-numbered years, and it's due April 1. Maya: What does it cost? Dan: $25 online or $30 on paper. It lists your designated office and agent. Maya: And if I miss it? Dan: It's delinquent after June 16, and that opens the door to administrative dissolution. Maya: What does the state say about the agent? Dan: Keep the agent information current. That's how the report notice actually reaches you. Maya: What does the year cost? Dan: With Mainstay, $149. With a $99 agent, $99. Add the state's $25 or $30 in the years a report is due. [7:12] Doing it yourself Maya: Can I be my own agent in Nebraska? Dan: If you live in Nebraska, yes. A member can serve, and there's no age rule. Maya: What's the tradeoff? Dan: The street address goes on the public record, and the agent has to be reachable there. If service fails, it goes by mail to your designated office anyway. Maya: Is there an hours rule? Dan: We found none in the statute or the guidance. But the agent has to be findable at the address. [7:37] Picking one Maya: How would an Omaha or Lincoln owner decide? Dan: Three questions. Does the price hold, is the office a real Nebraska address, and who files the Statement of Change when you switch. Maya: And your answer? Dan: Mainstay Filing. Our pick for Nebraska, at $149 a year. [7:57] The five in a row Maya: All five, once more? Dan: One, Mainstay Filing: $149, same at renewal. Two, Northwest: $125, with the report service to cancel. Three, NE Registered Agent.org: $99 flat. Four, Bizee: free the first year with a formation order, then $149. Five, Nebraska Registered Agent.co: $99 flat. Maya: The links are in the show notes.
