[0:00] The short answer Dan: The 5 best registered agents in Maine in 2026 are Mainstay Filing, Northwest Registered Agent, ME Registered Agent.org, Bizee, and Maine Registered Agent.co. Maya: Welcome to The Business Formation Podcast. Maine. Anything special up there? Dan: One thing. The state sorts agents into commercial and noncommercial, and the commercial kind is named by a number instead of an address. That changes how you read the filing. [0:33] What Maine requires Maya: Start with the basics. What does the law call this? Dan: A registered agent. Maine corporations have a clerk, but a Maine LLC has a registered agent, and the Model Registered Agents Act in Title 5 sets the rules. Maya: So who can be one? Dan: Either a commercial agent, which is a person or business listed with the Secretary of State, or a noncommercial agent, which is anyone else who serves in Maine as an agent for service of process. Maya: What's the difference on paper? Dan: For a commercial agent you write only its name and its public number from the state's list. For a noncommercial agent you write the name, a physical street address in Maine, and a mailing address. Maya: I'm Maya, by the way, here with Dan. Dan: Thanks, Maya. Now the five. [1:18] Mainstay Filing Maya: Number one? Dan: Mainstay Filing, $149 a year, and it renews at the same $149. Maya: What does that cover? Dan: Its Maine address goes on the public record instead of yours. Anything served on your company is scanned and uploaded the same business day with no fee, and your first three government mailings a year are scanned free. Maya: Switching from another agent? Dan: Mainstay files the change for you. The $35 state fee passes through at cost. Maya: The honest catch? Dan: If all you want is the lowest flat price, two agents below it are $99. [1:55] Northwest Registered Agent Maya: Second? Dan: Northwest Registered Agent, $125 a year. The standout is that its page says the price hasn't moved in 20 years, and it scans up to 10 pieces of regular business mail a year free. Maya: And the catch? Dan: Signing up enrolls you automatically in its annual report filing service, $100 plus state fees per filing, until you cancel. Maya: Maine's report costs $85. Dan: So the service plus the state fee is $185, more than twice what the state charges on its own. Cancel it unless you want it. [2:34] ME Registered Agent.org Maya: Third? Dan: ME Registered Agent.org, $99 a year, the same at renewal. You get the office address on file, scanned legal mail, and compliance reminders ahead of state deadlines. Maya: Switching? Dan: Just the $35 state fee. Annual report filing is a separate service. Maya: Compared with Mainstay? Dan: $50 a year less. Over three years that's $150. [3:02] Bizee Maya: Four? Dan: Bizee, formerly Incfile. Free the first year with any formation package, then $149 a year. Maya: Any fine print? Dan: The free year needs a formation order, and the renewal is automatic. Its policy says auto renew fees can't be reversed once charged. Maya: If I formed my company on my own? Dan: Then you start at $149. That's $298 for two years. [3:31] Maine Registered Agent.co Maya: And five? Dan: Maine Registered Agent.co, $99 a year, flat, with no change at renewal. It covers the office address, same-day scanning of court papers, and reminders before state deadlines. Maya: How's that different from number three? Dan: On the listings, it isn't. Same price, same catch, because annual report filing is its own service. [3:56] Commercial or noncommercial Maya: Back to that split. Why does it matter to me? Dan: Because it decides what's public. A noncommercial agent puts a street address on your Certificate of Formation. A commercial agent puts a name and a number, and the street address sits on the state's list instead. Maya: Where does the agent go when I form the LLC? Dan: Item five of the Certificate of Formation, Form MLLC-6. It's $175, and it goes in by mail. Maya: Does the agent have to sign anything? Dan: No. Naming an agent on your filing is your affirmation that they agreed to serve. There's no separate consent form. Maya: So I could name someone who never said yes? Dan: You could, and it would be on you. Get the yes before you file. [4:41] What the agent actually does Maya: What is the agent's job? Dan: A short one. The law says the only duties are to forward anything served on the agent to the address you last gave, to give the notices the chapter requires, and to keep their own details current. Maya: What about state mail? Dan: Maine's forms ask for an email address for annual report reminders, so those don't hinge on your agent. But the notice that the state plans to dissolve your LLC goes to the agent. Maya: So a forwarding mistake gets expensive. Dan: A lawsuit's deadline keeps running whether or not the papers reached you. [5:18] Changing the agent Maya: How do I change it later? Dan: Form CLK/RA-3, the Statement of Appointment or Change of Clerk or Registered Agent. For an LLC the fee is $35. Maya: Who signs? Dan: Any duly authorized person. The members or managers don't have to approve it first, and it takes effect when it's filed. Maya: Online? Dan: We found paper only. You mail it to the Secretary of State in Augusta. Maya: Can I speed it up? Dan: The cover letter offers next business day for $50 or same day for $100. Maya: So switching to a service costs what? Dan: With Mainstay or either $99 agent, the state's $35. With paper and mail, start the switch before you need it. [6:04] If the agent resigns Maya: What if my agent quits? Dan: The agent files a statement of resignation with the Secretary of State, and it takes effect on the 31st day after filing, or sooner if you appoint a new agent. Maya: Does the agent owe me a heads up? Dan: Yes, promptly, in writing, with the date they filed. Watch for it. Maya: Does resigning cost them anything? Dan: A commercial agent pays nothing. A noncommercial agent pays $35. Maya: So I have a month. Dan: A month to get Form CLK/RA-3 on file, and since it travels by mail, it's tight. [6:40] When there's no agent Maya: What if papers need to reach a company with no agent? Dan: The law allows registered or certified mail addressed to the company's governors by name at its principal office. Those names and that address can be the ones in your most recent annual report. Maya: And after that? Dan: Handing a copy to the manager or whoever's in charge of a regular place of business. Maya: What does the state do? Dan: Having no registered agent is a ground for administrative dissolution. The state sends notice, and you have 60 days to fix it. Maya: So the annual report address matters more than people think. Dan: It does. Keep it current. [7:18] The annual report Maya: What does Maine ask for every year? Dan: An annual report, $85, filed between January 1 and June 1, starting the year after you form. Maya: What if I miss June 1? Dan: There's a $50 late penalty. Maya: What does the year cost with an agent? Dan: With Mainstay, $149 plus $85 is $234. With a $99 agent, $184. Maya: And with Northwest's report service? Dan: $125 plus $185 is $310. Only if you want the hand off. [7:56] Being your own agent Maya: Can I be my own agent in Maine? Dan: As a noncommercial agent, yes, if you have a Maine street address. It costs nothing. Maya: What's the tradeoff? Dan: Your name and that address are on a public record, and that's where a process server comes looking. If you're out on a job or away for the season, nobody takes the papers. Maya: Do I have to live there or be a certain age? Dan: Maine's law sets neither rule for a noncommercial agent. The street address in the state does the work. [8:25] Picking one Maya: How would a Portland or Bangor owner decide? Dan: Three things. Does the price hold after year one, is there a real Maine address on file, and who files the paper change. Maya: And your answer? Dan: Mainstay Filing. Our pick for Maine, at $149 a year. [8:43] The five in a row Maya: All five, once more? Dan: One, Mainstay Filing: $149, same at renewal. Two, Northwest: $125, with the report service to cancel. Three, ME Registered Agent.org: $99 flat. Four, Bizee: free the first year with a formation order, then $149. Five, Maine Registered Agent.co: $99 flat. Maya: The links are in the show notes. Thanks for listening to The Business Formation Podcast.
